Our investment process has been developed over many years by combining the best practices of top investment and advisory firms such as Odyssey Investment Partners, The Gores Group, Bank of America and Jefferies. Our goal is to apply the collective experience of our team in a hands-on manner at every stage of the investment process to enable our investments to achieve consistent and long-term success.

Sourcing

BayView proactively targets and sources investment opportunities using rigorous analysis to identify either: (1) strong companies in industries poised to benefits from economic, secular or regulatory trends or (2) underperforming companies experiencing financial, operational or market challenges. In addition, we generate new deal flow through our extensive network of relationships with brokers; intermediaries; investment banks; advisory, accounting and legal firms; corporations; management teams and other deal sources.

Execution

BayView follows a disciplined approach that allows us to move quickly and efficiently to complete a transaction on whatever timeline may be required by the seller. We work closely with our subject matter experts who have experience in all the major corporate disciplines: accounting/finance, legal, operations, sales & marketing, supply chain management, information technology, insurance/risk management, environmental and tax. We pride ourselves on working with sellers to fully understand their issues and objectives during the sales process. We believe we are uniquely flexible, creative and willing to customize our investment to accommodate the objectives of the seller in a way that can benefit all parties in the long-term.

Ownership Transition

We believe that a significant amount of value can be created as a result of successful ownership transition and execution of the near-term operating plan. We value business continuity, stable relations (employee, customer, vendor, financing, etc.) and positive community standing. Above all, we appreciate the existing workforce and believe that motivating the employee base and investing in long-term development can be a key aspect of business growth. We are determined to do whatever it takes to ensure a successful transition from inserting ourselves into the business as management (e.g., if the seller is an owner-operator interested in moving away from a management role) to supporting the existing management as needed.

Operation and Monitoring

We will work closely with the management team to provide the support needed to build a better business under our ownership. Some of the ways that the BayView team and its network can support its portfolio investments include: develop a strategic and operating plan; establish an appropriate capital structure (including raising debt or equity as needed); incentivize management and key employees through bonus and equity plans; recruit additional human resources and identify, execute and integrate strategic add-on acquisitions.

Realization

We do not have a prefabricated investment horizon; therefore, our primary focus is to build a best-in-class, sustainable and growing enterprise that will be part of the BayView family for the long-term. However, at the appropriate time, BayView will evaluate a sale to fully realize its investment or a recapitalization to partially realize its investment while maintaining ownership of the business and future cash flows. Any seller retaining a stake in the business will be a part of this evaluation.
